MDI Membership Definitions, 2009 Jan 19th    

This text is from the "amended" version of the MDI Bylaws, which contains the same text as the version approved on May 7th, 2008, except for the "Membership" article. The changes replace the old "Interim" class with the "Associate" class.

ARTICLE 4

MEMBERSHIP

Section 4.1. Members. The members of this Corporation shall consist of those men who have complied with the requirements set forth in Section 4.2 of this Article and have properly presented themselves for membership in accordance with the procedures determined by the board of directors. There shall be three classes of membership. No person may hold more than one membership at any given time.

Membership shall not be assignable inter vivos by any member, nor shall membership vest to any personal representative, heir, or devisee.

Section 4.2. Requirements of Membership. Basic requirements of membership in MDI are as follows:

(a) (deleted)

(b) Each MDI member will strive to uphold and live by the Code of Honor and Core Values of MDI and the standards of any team of which he is a member.

(c) Each MDI member will pay required dues, as set by the board of directors, depending upon class of membership.

(d) Each MDI member shall have reached the age of majority in his resident locale.

(e) Each MDI member will have signed a Release of Liability form approved by the board of directors, according to a board-determined schedule.

Section 4.3. Classes of Membership. The board of directors defines the following classes of membership:

1. General Membership:

(a) Has successfully completed an initiation process sanctioned by the board of directors.

(b) (old a) Meets the requirements outlined in Section 4.2.

(c) (old b) Was a member in good standing of MDI at any time prior to January 1, 2004 or has successfully completed an MDI initial team member training/Point Program for new members, as defined in the MDI Point Program policy.

(d) (old c) Is a member in good standing of an MDI team or organized assembly of men within MDI.

(e) (old d) Adheres to the chain of command of MDI.

2. Alumni Membership:

(a) Meets the requirements outlined in Section 4.2.

(b) Provides a class of membership to graduates (alumni) of any board sanctioned initiation process but do not wish to be part of an MDI Division.

(c) Does not have any voting privileges in MDI.

(d) May hold certain MDI International leadership positions that relate to MDI-sanctioned or sponsored events or programs. Any alumni member wishing to serve in any leadership position must be approved by the president of MDI or his designee, to whom he is accountable.

3. Associate (formerly "Interim") Membership:

(a) Meets the requirements outlined in Section 4.2.

(b) Will have successfully completed an initiation process sanctioned by the board of directors within one year after becoming an Associate member.

(c) (old b) Provides a class of membership for men who wish to be members of MDI and have not yet graduated from any board-sanctioned initiation process or who are waiting to or is attending a MDI initial team member training/Point Program for new members.

(d) Does not have voting privileges in MDI.

(e) May not hold any leadership position that relates to any MDI-sanctioned or sponsored events.

(f) Is a member in good standing of an MDI team or organized assembly of men within MDI.

(g) Adheres to the chain of command of MDI.

Section 4.4. Expulsion or Suspension of a Member or Termination of Membership. Membership of any member shall cease on the happening of any of the following events:

(a) The member's death or resignation.

(b) The failure of member to adhere to the requirements in Section 4.2.

(c) The member engages in behavior and/or activities deemed contrary to the purpose, vision and core values of the corporation.

(d) On a determination by the board of directors that one or more of these events (other than the member's death or resignation) has occurred, and that the member should be expelled or suspended, or his membership terminated, the following shall occur:

1) A minimum of fifteen (15) days prior notice shall be given to the member.

2) The notice shall clearly describe reason for the expulsion, suspension or termination. In the case of suspension, the notice will give the condition(s) necessary for the membership to be reinstated.

3) The member shall have ten (10) days to respond to this notice. Such response shall be via first class mail sent to the address of the Corporation.

4) If no notice is received within the aforementioned period, the determination by the board of directors of the member's expulsion, suspension or membership termination shall become final.

5) After presenting his protest the member shall be given an additional ten (10) days to present a written explanation/objection for presentation to the board of directors. Thereafter, the board of directors shall consider the written explanation/objection prior to making a final decision on whether or not the member shall be expelled or suspended or his membership terminated, and shall notify the member accordingly.

6) All notices required under this Section shall be given by first-class mail, sent to the last address of the member, as shown on the Corporation's records or by personal delivery to the party to whom the notice is directed; or by email to the member's email address as shown on the Corporation's records.
